Terms of Service

These Terms of Service ("Terms") govern your access to and use of websites, applications, and services offered by LendingIQ ("LendingIQ," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

If you have executed a separate master services agreement, order form, or statement of work with us ("Enterprise Agreement"), the Enterprise Agreement controls where it conflicts with these Terms for the covered Services.

LendingIQ provides AI agent and related software and professional services for financial institutions and similar enterprises. Features, availability, and support levels depend on your plan or Enterprise Agreement. We may modify or discontinue features with reasonable notice where required, or immediately where necessary for security or legal compliance.

• You must provide accurate registration information and keep credentials confidential.
• You are responsible for all activity under your account and for notifying us promptly of unauthorized use.
• We may suspend or terminate access for breach of these Terms, non-payment where applicable, or risk to the Services or other customers.

As between you and LendingIQ, you retain all rights in data, content, and materials you submit to the Services ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Services and as instructed by you, subject to your Enterprise Agreement and applicable law.

LendingIQ retains all rights in the Services, software, models (excluding your Customer Data), documentation, and branding. Except for the limited rights expressly granted, no rights are transferred to you.

We may use aggregated, de-identified, or anonymized data for analytics, benchmarking, and product improvement in accordance with our Privacy Policy and agreements.

You agree not to:

• Violate applicable law or third-party rights.
• Upload malware, attempt unauthorized access, or disrupt the Services or underlying infrastructure.
• Reverse engineer, scrape, or probe the Services except where permitted by law.
• Use the Services to build a competing product or to train general-purpose AI models on our outputs without written consent.
• Process special categories of personal data in violation of law or without appropriate legal basis and safeguards.

Paid Services are billed according to your order form or Enterprise Agreement. Unless otherwise stated, fees are non-refundable except as required by law. Late payments may incur interest or suspension of Services as described in your agreement.

The Services may integrate with third-party products. Your use of those products is governed by the third party's terms. LendingIQ is not responsible for third-party services.

Each party may receive non-public information from the other ("Confidential Information"). The receiving party will use reasonable care to protect Confidential Information and use it only for the purpose of the Services, subject to standard exceptions (public domain, independent development, lawful disclosure).

EXCEPT AS EXPRESSLY SET FORTH IN AN ENTERPRISE AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LENDINGIQ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. EXCEPT FOR YOUR PAYMENT OBLIGATIONS, BREACH OF CONFIDENTIALITY, INDEMNITY OBLIGATIONS, OR WILLFUL MISCONDUCT, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO LENDINGIQ FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF NO FEES APPLY, ONE HUNDRED U.S. DOLLARS (USD $100)).

You will defend and indemnify LendingIQ and its affiliates, officers, and employees against third-party claims arising from Customer Data, your use of the Services in violation of these Terms, or your violation of law, except to the extent caused by LendingIQ's gross negligence or willful misconduct.

These Terms remain in effect while you use the Services. We may suspend or terminate access for breach or as set forth in your Enterprise Agreement. Upon termination, your right to use the Services ceases; provisions that by nature should survive (confidentiality, disclaimers, limitations, indemnity) will survive. Export or deletion of Customer Data may be handled as described in your agreement or support documentation.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to mandatory provisions of law, courts in Bengaluru, Karnataka, India, will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, unless your Enterprise Agreement provides otherwise.

You will comply with applicable export control and sanctions laws. You represent that you are not prohibited from receiving the Services under applicable law.

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. For material changes, we will provide additional notice where required. Continued use after the effective date constitutes acceptance of the updated Terms, except where prohibited by law.
